Some entities and individuals are required to file biographical affidavits. The National Association of Insurance Commissioners (NAIC) Uniform Certificate of Authority Application (UCAA) requirements contain instructions for completing Form 11, the Biographical Affidavit. We've clarified some of these requirements and explained in more detail below how to complete this filing.

Who is required to provide a biographical affidavit?

Job titles and duties differ based on an applicant's business size and organization, so we can’t tell you which people in your organization should provide a Form 11. We require biographical affidavits of any person with a controlling interest in the entity.

We use the definition of control in RCW 48.31B.005. Control is presumed to exist if any person, directly or indirectly, owns, controls, holds with the power to vote, or holds proxies representing, 10% or more of the voting securities of any other person.

Material change

A “material change” means a change to the following Form 11 questions:

  • 9 - any fidelity bond claims made or when a fidelity bond is canceled or revoked
  • 11 - a change from “no” to “yes” on any part
  • 14 - “yes” to adjudged bankrupt
  • 15 - any addition

Domestic insurers must provide new biographical affidavits for changes in officers, directors or key managerial personnel. Updated biographical affidavits must be provided every 36 months after filing the last affidavit. 

Investigation and verification

Independent third-party verification reports are required for the initial filing of a biographical affidavit for the following application types: 

  • Solicitation permits
  • UCAA Primary
  • UCAA Expansion
  • UCAA Domestic Corporate Agreement
  • Redomestication to Washington

You must use an NAIC-approved third-party vendor for this report. The vendor is responsible for submitting these reports to our Company Licensing and Compliance unit.

Investigation and verification are not required for updates for material changes, felony/fraud or every 36 months, unless explicitly requested by the commissioner.

Holding companies

This regulation does not override the holding company statute, which sets a shorter time frame for filing biographical affidavits.
